UPDATE 1-Kratos to proceed with Henry Bros buy

* Kratos says rival bidder Diebold drops out

* Henry Bros shareholder meet set for Dec. 9

Nov 26 (BestGrowthStock) – Kratos Defense & Security Solutions Inc
(KTOS.O: ), which is looking to buy Henry Bros Electronics Inc
(HBE.O: ), said Diebold Inc (DBD.N: ) has withdrawn its rival bid,
and it will proceed with its $51 million acquisition offer.

Earlier this month, Kratos raised its offer to buy Henry
Bros to $8.20 a share from its earlier offer of $7 a share
after Henry Bros said it received an $8-a-share offer from a
“large publicly traded United States-based company.”

Henry Bros, which provides technology-based integrated
electronic security systems and services, did not reveal the
identity of the third-party bidder.

Canton, Ohio-based Diebold is an ATM maker and also
provides electronic and software security services.

Henry Bros’ stockholder meeting to vote on the proposed
deal is scheduled for Dec. 9.

Shares of Henry Bros, which have jumped about 21 percent in
the last month, closed at $8.36 on Wednesday on Nasdaq.
